Terms of service

These terms cover your use of Cosmentum, the software you reach at app.cosmentum.com. Cosmentum is operated by Imperium Marketing Solutions LLC, of 3501 SW 2nd Ave Ste 2100, Gainesville, FL 32607 — “we” and “us” below. “You” is the agency that holds the workspace.

By signing in, you accept them. If you are accepting on behalf of an agency, you are saying you can bind it.

1. What you get

A workspace of your own: clients, contacts, pipeline, projects, recurring work, tasks, notes, custom fields and reporting. Your workspace is separate from every other agency’s. Nobody outside the seats you create can see inside it, with one exception, set out in section 5.

We add and change features. We will not remove something you rely on without telling you first.

2. Seats and who uses them

A seat is one person. Seats are not shared — signing in on a second device ends the first session, which is deliberate and is how the licence is counted.

You decide who gets a seat and what each profile can see. You are responsible for what the people you invite do in your workspace, for keeping your own sign-in details to yourself, and for telling us if you think a seat has been taken over.

Passwords are chosen by the person who holds the seat, through a link that works once. We never see them.

3. What it costs

Your bill is based on the seats you keep and the clients you hold. It is calculated and shown in the app, on the Account tab in Settings, so you can see it before an invoice arrives. Support access we use to help you is never counted.

Invoices are issued monthly in advance and are payable on receipt. We will give you at least 30 days’ notice before a price rise, and it will never apply to a period you have already paid for.

An agreed price is an agreed price. If we have given you a founder rate or a negotiated price, changing our list prices later does not move you. That is a promise the software enforces, not just a sentence here.

4. Your data stays yours

Everything you put into Cosmentum belongs to you. We do not sell it, rent it, or hand it to anybody for their own purposes. We do not use it to train machine-learning models, ours or anybody else’s.

You can take it out whenever you like, without asking us: Settings → Account → Download everything gives you the whole workspace as spreadsheets, with names written out rather than internal identifiers. That works for as long as your workspace is open, including while an account is being closed.

We use your data to run the service for you, to keep it working, and to bill you. That is the whole list. How we handle it is set out in the privacy policy, which is part of these terms.

5. When we look inside your workspace

Only to help you, and never quietly. When we open your workspace we go in as a seat named Cosmentum Support, and:

  • a reason is written down before the door opens;
  • you can read every visit — who, why and how long — in your own Settings, and we cannot remove that record;
  • anything we touch is recorded under our name, never one of yours;
  • the visit stops working by itself after an hour.

We will not use that access for anything other than support, and we will not look at your workspace to study how you use the product.

6. Using it reasonably

Do not use Cosmentum to:

  • break the law, or hold data you have no right to hold;
  • send unsolicited bulk email, or store lists gathered for that;
  • attack it — probing other workspaces, reverse engineering it, or running load against it that is not your ordinary use;
  • resell or rebrand the software itself. Running your own clients’ work in it is exactly what it is for; selling access to it as though it were yours is not.

If something you are doing threatens other customers or the service, we may suspend the workspace while we talk to you. We will tell you why, and your export keeps working.

7. What we do not promise

Cosmentum is provided as it is. We work hard to keep it up and we watch it from outside every five minutes, but there is no uptime guarantee in these terms yet and no service credits. We would rather say that plainly than write a number we have not earned the operational history to stand behind.

We keep backups and have rehearsed restoring from them. Keep your own copy of anything you cannot afford to lose — the export is there for exactly this.

8. Ending it

You can stop whenever you want, by telling us. We invoice up to the end of the period you are in and do not refund part of one.

We can end it too, with 30 days’ notice — or immediately if section 6 is being broken or an invoice has gone unpaid for 14 days.

Either way: export your data first. Your workspace stays readable for 30 days after it closes so you can. After that we delete it, and what sits in our backups ages out within a further 30 days. Once it is gone we cannot get it back for you.

9. Liability

Neither of us is liable to the other for indirect or consequential losses — lost profits, lost business, lost goodwill — however they arise.

Our total liability to you for anything connected with Cosmentum is capped at what you paid us in the 12 months before the claim. Nothing here limits liability that cannot legally be limited.

10. Changes

We may update these terms. For anything that materially affects you we will give at least 30 days’ notice by email to the workspace owner, and you may end the agreement before it takes effect. The date at the top always says when this last changed.

11. Law

These terms are governed by the law of the State of Florida, and the state and federal courts serving Alachua County, Florida are where disputes are settled. Talk to us first — [email protected] reaches a person.
